Ethical Dilemmas of Intellectual Property - Free Essay Example

The case regarding the companies Acme and Beta Inc. relate to patents. Patents are defined by the court as, â€Å"novel, useful, non-obvious and intangible ideas†, (Colonia, et al., 2005). These are inventions that must follow a set of guidelines and criteria subject to patent protections. Patents must be new inventions that provide the method or design of a new product. The patent must also be useful. This includes the process required to achieve the new product. While the product is simply an idea for an invention, this idea can be protected by law. It allows for inventors to have the â€Å"exclusive right to make, use, and sell the invention for a period of twenty years†, (Mayers, et al., 2012, p. 1142). As intangible objects, patents represent intellectual property. These are ideas or inventions that can be bought and sold for personal and public gain. In this way, patents are also personal property, (Mayer et al., 2012). The patent can be owned by an individual or a corporation. It not only provides the patent owner exclusive rights to the invention but also works to prevent others from having it. This includes marketing or misuse of the invention, (Colonia, et al., 2005). With these rights, the owner has the ability to modify the invention, restrict the invention, or sell the invention to allow someone else to distribute and manufacture. When the patent is used in part or licensed to others, it allows organizations other than the owner to profit from the invention through royalties, (Mayer, et al., 2012). However, it is up to the owner to decide what to do with the patent. Examples can be seen such as licensing the patent to several entities allowing for exploitation and high expo sure. With these rights the law recognizes the importance of sciences, the arts, technology, and the overall progression of humanity. Protected by the Fifth Amendments Taking Clause of the Constitution, patents give owners special benefits and rights for their ideas, (Mossoff, 2015). Alternative Resolution Although Acme Inc. is the owner of a patent for immortality, Beta Inc. took the liberty to copy, manufacture and release the drug to the public market. This was done without the permission of Acme Inc., practicing patent infringement. Not only did Beta Inc. violate the law, they violated the rights of patent ownership. The owner was not allowed to profit from the patented invention due to Beta Inc.’s lawlessness. As a result, â€Å"the patent holder may seek damages and an injunction against the infringer in federal court, requesting damages for royalties and lost profits as well†, (Mayers, 2012, p. 1147). While court is a common way to litigate judgment, there are additional alternative options. Alternative dispute resolution allows individuals and organizations to argue a case without a long and costly trail. These include mediation, arbitration, and conciliation, (Mayers, 2012). All three options allow both parties to come to an agreement to resolve conflicts under m ore comfortable terms and conditions. Arbitration is a formal and binding commitment recognized by the court. The case is not heard or decided by a judge or jury. It is heard before experienced parties who can resolve patent issues without the stress of a formal court. Arbitrators work as a judge, hearing arguments and deciding a just course of action. They are often retired judges, lawyers, and other experienced individuals with special knowledge of patents and circumstances regarding the case. In many ways, arbitration represents the best alternative due the fast turnaround results and the professional expertise of the arbitrator. Additionally, arbitration does not allow for an appeal process so all decision are final. Decisions are often confidential and preferred because of its ability to preserve business relationships, (Knight, 2012). Arbitration is often favored in patent proceedings and included in most licensing contracts. Also recognized as a route to resolution is mediation. It is unfavored in patent cases be cause the decision is not binding and there is no party to enforce the decision. Other alternative routes can be found in the Leahy-Smith American Invents Act of 2011. The Act includes four additional options that can prevent court intervention. It includes the supplemental examination for patent review, post-grant review, inter partes review, and derivation proceedings, (Knight, 2012). Enacted by the Obama administration it provides more options for resolving issues with patent. ACME Ethical Dilemma ACME holds patent ownership of a new drug for immortality. This reserves the right for ACME to hold, sell, or distribute the patent product as they see fit. It is done to protect ACME and also to prevent theft and misuse of the product from unlicensed organizations, (Colonia, et al., 2005). In addition, as owners ACME has an obligation to serve the public. This includes marketing products that are beneficial to public health and promotes the progression of art, science, and human life, (Massoff, 2013). Because ACME decided to hold the patent with no movements towards marketing and distribution, it presents an ethical dilemma for the organization. It raises concern â€Å"to the possibility of stifling innovation, copyrights and patents also allow the holder to ransom the health and welfare of the public†, (Colonia, et al., 2005). This suggests that the organization was putting public health in jeopardy. The actions conducted by ACME question the integrity and authenticity to t he organizational intent of the product. ACME has the ability to prevent millions of deaths worldwide. Instead, the organization failed their moral obligations to society by improving health and extending human life. BETA Ethical Dilemma BETA Inc. stands in an ethical dilemma. The organization ignored patent laws by marketing a patent product they did not own. The organization also did not have a license from ACME granting BETA permission to distribute the product. Although BETA did not profit from the distribution, BETA did not apply â€Å"fair use† laws, (Colonia et al., 2005). The fair use law allows organizations to copy patent products for educational purposes only. Furthermore, BETA did not apply â€Å"transformative† use of the product, (Colonia et al., 2005). They did not transform the product into a new item for a different use. For instance, BETA did not modify the product to extend life for a specified period or alter the product to cure deathly illnesses. The organization went against patent protections to distribute the product without permission. Doing so BETA restricted the creativity of the product. AMCE was not given the opportunity to improve the product in any way or provide input in matters of marketing and distribution. Although BETA Inc. worked with good intentions to serve the public and help others, they did not follow federal guidelines granting AMCE the exclusive rights. Theories of Ethical Thought Utilitarianism is a theory of ethical thought that is encouraged throughout government and general public. It is the idea that, â€Å"an action, or set of actions, is generally deemed good or right if it maximizes happiness or pleasure throughout society†, (Mayer, et al., 2012, p.41). It can be applied throughout all aspects of life including law, economy, and government. Utilitarianism is seen as a moral compass for important decisions to be used among individuals and communities. When a product is useful and productive in positive ways it provides the greatest amount of benefit for the people. By manufacturing and distributing an unlicensed product that prolongs life, BETA acted with good intentions for the good of society. Patents protect ideas that help to flourish human life, (Massoff, 2013). As a result, it comes with moral obligations to society that grants rights to the owner. For the service the invention provides to society, patent owners are granted rights, protecti on, and financial compensation for their work. AMCE did not follow its moral obligations to progress life, encouraging BETA to act in its wake. BETA did not generate profits from their distribution demonstrating their act of utilitarianism. Instead, BETA broke the law and violated patent rights by distributing an unlicensed product to improve the health and general welfare of society. An important theory to the case of patent rights and intellectual property is social justice and social contract theory. The patent owned by AMCE is monumental and has the potential to change the landscape of how people live. With the promises of immortality it bears to question the marketing potential of the product and the problems that can ensue as a result. This includes possible limitations to the product. The social justice theory raises the question of who should have access to the product and the potential good and bad that can come from the misuse of the product. Do all people have access to the product including criminals or is the product restricted to those facing illness, old age or death? Placing limitations on the distribution of the product enforces an intermediary to enforce the stipulations of distribution. Through the social contract theory, it allows the government to act as a mediator between the patent owner and the public. This puts the decision out of the hand s of both parties and into the hands of the government. The theory implies the use of an overseer or organization that acts as a watch dog over the people. It goes on to suggest that people must lose something in return and the process of give and take. This is seen in the social contract theory â€Å"where people give up certain rights to government in exchange for security and common benefits†, (Mayer, et al., 2012, p. 44). References 1. The human body is a complex, highly organized structure made up of unique cells that work together to accomplish the specific functions necessary for sustaining life. Our bodies consist of a number of biological systems that are vital to our survival and well-being, each system require support and coordination of other systems to form a living and healthy human body. If any of these systems is damaged, the human body will become unstable and this lack of stability will ultimately lead to death. The instability caused by damage of one system cannot be stabilized by other systems because functions of one system cannot be performed by another. One main system is the Endocrine system which is vital in maintaining homeostasis in the human body. This system influences almost every cellular function in our body; this system plays a role in regulating mood, growth and development, tissue function, metabolism, and sexual function and reproductive processes. Throughout this essay I will be talking about an organ in the endocrine system called the Adrenal gland which main role is to relay chemical messages know as hormones throughout the body.The adrenal gland is one of the major organs in the endocrine system, the adrenal gland is a pair of triangular shaped glands each about 2 inches long and 1 inch wide that sits on top of the kidneys. Dont let their small size fool you; these powerful little adrenal glands manufacture and secrete steroid hormones such as cortisol, estrogen and testosterone that are essential for life, health and vitality. They modulate the functioning of every tissue, organ and gland in your body to maintain homeostasis during stress and keep you alive. They also have important effects on the way you think and feel. The main purpose of your adrenals is to enable your body to deal with stress from every possible source, ranging from injury and disease to work and relationship problems. They largely determine the energ y of your bodys responses to every change in your internal and external environment. Whether they signal attack, retreat or surrender, every cell responds accordingly, and you feel the results. It is through the actions of the adrenal hormones that your body is able to mobilize its resources to escape or fight off danger (stress) and survive. The adrenaline hormone prepares our body to function at maximum efficiency by increasing our heart beats, breathing rate, and blood flowing muscles and causes the liver to put more stored glucose into our blood. All of these actions cause our body to produce a lot of energy rapidly and the energy helps us cope with these different situations.The adrenal gland is made up of two major regions which is the adrenal cortex and the adrenal medulla. These two major regions are encapsulated by connective tissue known as the capsule. The adrenal cortex is the largest gland and is essential to life, it controls the electrolyte and water distribution in the body and maintains proper carbohydrate balance. Its composed of three concentric zones, the zona glomerulosa (outer zone) which secretes mineralocorticoids; it affects mineral levels of sodium and potassium in the blood. The zona fasciculata (middle zone) which secretes glucocorticoids, it suppresses the immune system, and aids in metabolism which helps us generate energy from non-carbohydrate foods and even regulate our blood pressure. Lastly the zona reticularis (inner zone) which secretes dehydroepiandrosterone (DHEA) and androstenedione from cholesterol. These androgens are released into the bloodstream and transported to gonads where they are converted into testosterone or oestrogen. The hormones thats being released in this zone is mainly responsible for the development of sexual characteristics during puberty. The Adrenal medulla is the inner part of the gland and does not perform any vital functions, but just because it doesnt perform functions that you need to live doesnt mean its useless. Its composed of cells called ch romaffin cells, which are organized in clusters around blood vessels. The hormones that are produced in this part of the gland is epinephrine and norepinephrine which prepare the body to fight or flight response by increasing your heart rate, constricting blood vessels, increasing the metabolic rate heightening cognitive awareness and increasing the respiratory rate. Its very important for your body to produce these specific hormones because it can result in certain disorders. A disease that is caused from the failure of the adrenal glands is called Addisons disease, which is a rare uncommon condition in which your adrenal glands produces insufficient levels of cortisol and aldosterone. There are two major classifications for Addisons disease which is primary adrenal insufficiency and secondary adrenal insufficiency. Primary adrenal insufficiency which occurs when your adrenal glands are damaged so severely that they can no longer produce hormones. Its most often caused when your immune system attacks the adrenal glands known as autoimmune disease. I n an autoimmune disease, your bodys immune system mistakes any organ or area of the body for a virus, bacteria, or another outside invader. Secondary adrenal insufficiency which occurs when the pituitary gland located in your brain cant produce adrenocorticotropic hormone which tells the adrenal gland when to release hormones.The endocrine system is unique because its organs are not anatomically related. Self selected or volunteer sample.   40 males: 20-50 yrs old from New Haven area in the United Stated of America.   Job ranges Included: postal clerks, HS teachers, salesmen, labourers, engineers, etc.   Education: one had not finished HS to some who a have degree + qualification in various subjects. Paid: $4.50 regardless of what happened after and before they arrived. This is called COERCIAN. Method and Design:   Method: Lab experiment.   Observer observed participants for signs of tension/nervousness: â€Å"sweat, tremble, biting of lips, nervous laughter† I. V. /D. V.   I. V. – There was NO I. V. D. V. – Level of obedience; how far they’d go with the voltage to shock the learner. Procedure: LEARNER TASK   The teacher (participant) was asked to read a series of word pairs to the learner (confederate), and then read the 1st word of the pair along with the 4 other terms. Learner (confederate) had to indicate which 1 of the 4 terms was originally paired with the 1st word. SHOCK GENERATOR The shock generator perceived to be real – professionally made + model printed. There were 30 switches – labelled from 15 to 450 volts. 15 volt different between each switch.   Labels to describe intensity – from â€Å"slight shock† (weakest) to â€Å"xxx† (strongest). Teachers (ppts) were given a 45 volts shock to convince them that the shocks were real. Teacher was told to give shock for every wrong answer while moving a shock level higher on shock generator. Teacher had to read out the voltage to the learner each time they were about to give a shock.   If the teacher asked for advice/wanted to stop, experimenter used 4 prods. One of the most important questions in my generation was â€Å"Can racial and economic justice be achieved without violence?† That is still a relevant question in today’s world as well. However, I am here to say yes; racial and economic justice can be achieved without violence. Racial and economic injustice occurred while I was in high religious order and we were able to stop these injustices without violence. We held non-violent protests all across South Africa and it ended up being successful for our country. When your enemy is using the tactic of violence to stop us from voicing our opinions on injustices, being violent right back would only cause more issues. Although, more than one formula exists for the CAPM, the most common is referred to as the market risk premium model presented below (Block Hirt, 2005): r = Rf + beta (Km – Rf) Where: r is the expected return rate on a security Rf = the risk free rate of return (cash) B = beta coefficient, or historical volatility of common stock relative to market index Km = is the return rate of the appropriate asset class The market risk premium formula assumes that the rate of return or premium demanded by investors is directly proportional to the perceived risk associated with the common stock. Beta measures the volatility of the security relative to the asset class. The equation is saying that investors require higher levels of expected returns to compensate them for higher expected risk. This formula can be thought as predicting a security’s behavior as a function of beta: CAPM says that if a person knows a security’s beta then they know the value of (r) that investors expect it to have (see graph below) (CAPM, 2008). [pic] More volatile stocks will have a beta coefficient greater than 1. 0, whereas less volatile stocks will have a beta less than 1. 0. If the risk free rate of return (Rf) and average market return (Km) are considered fixed, then the required rate of return for company stock can be calculated for the required rate of return. As an example, if the market risk premium (Km – Rf) is 6% and a risk free rate of return (Rf) is 4%, then the required rate of return would equal 10% for B = 1 and 16% for B = 2. The Discounted Cash Flow Model (DCFM) is another standard way of determining the cost of equity. It assumes that a firm’s current stock price is equal to the present (discounted) value of all expected future dividends from the investment (Utility Regulation, 2008). Modern financial theory contends that the price of a firm’s stock is the present value of the future cash flows discounted at an appropriate interest rate (Freeman Gagne, 1992). To calculate the current stock value, calculate the present value of future dividends and growth in the value of the stock at some future date. The discount rate used for this present value calculation is the weighted average cost of capital for the firm. Both the CAPM and DCF models involve applying data from a single or group of companies, to evaluate the current stock value of a single company. CAPM is more objective and complicated, and requires more calculation and data from the market. DCF is more subjective and simplified. One such DCF assumption is that future dividends will grow forever at a constant rate. Since this assumption is not always true, the DCF method gives a more qualitative estimate of the cost of capital. Limitations of CAPM includes, model uncertainty, it is difficult to know for sure if the use of the model is theoretically correct. Input uncertainty, is another limitation, it is difficult to estimate the appropriate risk premiums accurately (CAPM limitations, 2008). Limitations of the DCF model include miss growth options, options to expand and options to redirect (DCFM, 2008). Debt/Equity Mix Debt/equity mix is a financing strategy used by companies to help fund the business or other investments. Most companies use a combination of both in order to ensure stability and to keep long-term cost down. Debt is the borrowing of money from other lenders such as finance companies and banks. â€Å"Corporate debt has increased dramatically in the last three decades. † (Block Hirt, pg. 468) Other forms of debt include issuing bonds and leasing. Debt has become a common item on balance sheet for many companies, including those just starting out. Debt financing allows companies to finance without having to sell stock or bring in more partners. The major benefit for debt financing, unlike with equity financing, the owner retains full ownership of their business. Bringing in more partners or stockholders in a company causes the loss of primary ownership and possibly the loss of the reason the company was created. Equity is another form of financing. Equity is also used by large and small companies. Equity is financed by other people. With equity financing the initial owner/borrower has a greater risk of losing their company to the partners that have become involved. On the other hand the borrower in an equity finance loan has flexibility on repayment terms and the form of repayment (ie. cash, stock, bonds or services). However, most major corporations have a mixture of debt and equity with making sure they do not have to much leverage in either one. Conclusion Expanding a company can be a big step and many plans must be laid out and consider before the final decision can be made. Cost is the biggest factor that must be considered when expanding. The second factor to consider is who or how the cost is going to be covered. Most companies consider there finance options. Financing option that should be considered include taking on more debt, issuing bonds, and selling stock. With these options the interest rate, the selling price of the stock and how much of the company they would like to give up all must be considered when choosing an option.
